Common use of Amendment and Restatement of Warrant Terms Clause in Contracts

Amendment and Restatement of Warrant Terms. Effective as of the Amalgamation Effective Time: (a) the Company Warrant Instrument, Company Warrant Certificate and their respective associated schedules, terms, conditions and endorsements, in each case in effect as of immediately prior to the Amalgamation Effective Time, shall cease to govern and provide for the terms and conditions of the Warrants; (b) the Company Warrant Instrument is hereby supplemented, amended and restated in its entirety in the form of the attached Annex A to this Agreement; and (c) the terms and conditions of the Warrants shall thereafter be as set forth in the attached Annex A to this Agreement and shall be binding upon PubCo and the Warrantholder.
