Amendment and Termination of Original Agreement. Unless this Agreement is terminated prior to the Effective Date in accordance with Section 12.3, the Parties agree that the Original Agreement shall be amended in accordance with the Termination Agreement entered into by the Parties, as attached hereto as Attachment 1 to this Agreement, which among other things, shall provide for the termination of the Original Agreement as of December 31, 2014.
