Amendment, Etc., of Related Documents. Cancel or terminate any Related Document (except in connection with the prepayment of any Debt permitted to be prepaid hereunder) or consent to or accept any cancellation or termination thereof, amend, modify or change in any manner any term or condition of any Related Document or give any consent, waiver or approval thereunder, waive any default under or any breach of any term or condition of any Related Document, agree in any manner to any other amendment, modification or change of any term or condition of any Related Document or take any other action in connection with any Related Document that would impair the value of the interest or rights of any Loan Party thereunder or that would impair the rights or interests of any Agent or any Lender Party, or permit any of its Subsidiaries to do any of the foregoing.

Cancel or terminate any Related Senior Notes Document, Senior Subordinated Notes Document, the Convertible Notes Document (except in connection or any Material Debt Documents with the prepayment of any respect to subordinated Material Debt permitted to be prepaid hereunder) or consent to or accept any cancellation or termination thereof, amend, modify or change in any manner any term or condition of any Related Document thereof or give any consent, waiver or approval thereunder, waive any default under or any breach of any term or condition of any Related Documentthereof, agree in any manner to any other amendment, modification or change of any term or condition of any Related Document thereof or take any other action in connection with any Related Document therewith that would impair the value of the interest or rights of any Loan Party thereunder or that would materially impair the rights or interests of any Agent or any Lender PartyLender, or permit other than any termination thereof in connection with the payment in full of its Subsidiaries to do all Obligations thereunder (including by any of the foregoingrefinancing permitted hereunder).
