Common use of Amendment Fee Clause in Contracts

Amendment Fee. The Administrative Agents shall have received (i) payment, for distribution to each Lender that has signed and delivered this Agreement to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents), an amendment fee equal to 0.05% of the Aggregate Outstandings of such Lender then in effect.

Amendment Fee. The Administrative Agents Agent shall have received (i) paymentreceived, for distribution to the account of each Lender that has signed and delivered which shall have executed this Agreement to the Administrative Agents by not later than 3:00 Amendment before 5:00 p.m. (New York City time) on May 3November 13, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)2003, an amendment fee in an aggregate amount equal to 0.050.125% of the Aggregate Outstandings aggregate amount of each such Lender then in effectLender's Advances and Commitments.

Amendment Fee. The Administrative Agents Agent shall have received (i) paymentreceived, for distribution to the account of each Lender that has signed and delivered which shall have executed this Agreement to the Administrative Agents by not later than 3:00 Amendment before 5:00 p.m. (New York City time) on May 3October 26, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents), 2004 an amendment fee in an aggregate amount equal to 0.050.125% of the Aggregate Outstandings aggregate amount of each such Lender then in effectLender's Advances and Commitments.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, an amendment fee for distribution to the account of each Lender that has signed executes and delivered this Agreement delivers to the Administrative Agents by not later than 3:00 p.m. (Agent a Lender Consent Letter at or prior to 5:00 P.M., New York City time) , on May 3December 15, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)2005, in an amendment fee amount equal to 0.050.10% of the Aggregate Outstandings Exposure of such Lender then in effectLender.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, for distribution to the account of each Lender that has signed that, not later than 6:00 p.m. New York City time on November 19, 2008, shall have executed a counterpart of this Amendment No. 4 and delivered this Agreement the same to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)Agent, an amendment fee equal in such amount as shall have been previously disclosed to 0.05% of the Aggregate Outstandings of such Lender then in effectLenders by the Borrower.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, for distribution to account of each Lender that has signed and delivered consented in writing to this Agreement to the Administrative Agents Amendment No. 1 by not later than 3:00 p.m. (5:00 p.m., New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)October 30, 2001 an amendment fee in an amount equal to 0.050.25% of the Aggregate Outstandings sum of Revolving Exposures and unused Revolving Commitments and outstanding Incremental Term Loans and unused Incremental Term Loan Commitments of each such Lender then in effecton the date hereof.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, for distribution to the account of each Lender that has signed that, not later than 6:00 p.m. New York City time on March 30, 2009, shall have executed a counterpart of this Amendment No. 5 and delivered this Agreement the same to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)Agent, an amendment fee equal in such amount as shall have been previously disclosed to 0.05% of the Aggregate Outstandings of such Lender then in effectLenders by the Borrower.

Amendment Fee. The Administrative Agents Agent shall have received (i) paymentreceived, for distribution to the account of each Lender that has signed and delivered which shall have executed this Agreement to the Administrative Agents by not later than 3:00 Amendment before 5:00 p.m. (New York City time) on May 3April 19, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)2005, an amendment fee in an aggregate amount equal to 0.050.125% of the Aggregate Outstandings aggregate amount of each such Lender then in effectLender’s Commitments.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, for distribution to the account of each Lender that has signed that, no later than 5:00 p.m. New York time on July 3, 2018, shall have executed a counterpart of this Amendment and delivered this Agreement the same to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)Agent, an amendment fee equal in the amount of 0.15% times each such Lender’s Revolving Credit Commitment after giving effect to 0.05% of the Aggregate Outstandings of such Lender then in effectthis Amendment.

Amendment Fee. The Administrative Agents Company shall have received (i) paymentpaid to Administrative Agent, for distribution to each Tranche A Lender that has signed executed and delivered a counterpart to this Agreement Amendment prior to the Administrative Agents by not later than 3:00 p.m. 12:00 Noon (New York City time) on May 3March 25, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)2003, an amendment fee equal to 0.051.0% of such Lender’s Tranche A Loan Exposure calculated giving effect to the Aggregate Outstandings of such Lender then reduction in effectTranche A Commitments effected by this Amendment.

Amendment Fee. The Administrative Agents Company shall have received (i) payment, for distribution to each Lender that has signed and delivered this Agreement pay to the Administrative Agents by not later than 3:00 p.m. (Agent, for the account of each Lender which executes and delivers this Amendment prior to 5:00 p.m., New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)June 20, 2001, an amendment fee equal to 0.05.375% of such Lender's Aggregate Exposure, such fee to be earned and payable on the Aggregate Outstandings of such Lender then in effectEffective Date.

Amendment Fee. The Company shall pay to the ------------- Administrative Agents shall have received (i) paymentAgent, for distribution to the account of each Lender that has signed which executes and delivered delivers this Agreement Amendment prior to the Administrative Agents by not later than 3:00 p.m. (5:00 p.m., New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)June 20, 2001, an amendment fee equal to 0.05.375% of such Lender's Aggregate Exposure, such fee to be earned and payable on the Aggregate Outstandings of such Lender then in effectEffective Date.

Amendment Fee. The Administrative Agents Agent shall have received (i) paymentreceived, for distribution to the benefit of each Lender that has signed and delivered executes this Agreement to the Administrative Agents Amendment No. 4 by not no later than 3:00 p.m. 12 PM (New York City time) on May 3December 12, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)2006, an amendment upfront fee equal to 0.050.10% of the Aggregate Outstandings aggregate Loans and Commitments of each such Lender then in effectunder the Credit Agreement as of the date hereof.

Amendment Fee. The Administrative Agents Company shall have received (i) paymentpaid to Administrative Agent, for distribution to each Tranche A Lender that has signed executed and delivered a counterpart to this Agreement Amendment prior to the Administrative Agents by not later than 3:00 p.m. 12:00 Noon (New York City time) on May 3March 25, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)2003, an amendment fee equal to 0.051.0% of such Lender's Tranche A Loan Exposure calculated giving effect to the Aggregate Outstandings of such Lender then reduction in effectTranche A Commitments effected by this Amendment.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, for distribution to the account of each Lender that has signed that, not later than 6:00 p.m. New York City time on May 7, 2008, shall have executed a counterpart of this Amendment No. 4 and delivered this Agreement the same to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)Agent, an amendment fee equal in such amount as shall have been previously disclosed to 0.05% of the Aggregate Outstandings of such Lender then in effectLenders by the Borrower.

Amendment Fee. The Administrative Agents Agent shall have received (i) paymentfor the account of each Funding Party that, for distribution to each not later than 5 p.m. New York City time on July 24, 2009, shall have executed a Lender that has signed Consent Letter and delivered this Agreement the same to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)Agent, an amendment fee equal in such amount as shall have been previously disclosed to 0.05% of the Aggregate Outstandings of such Lender then in effectLenders by the Borrower.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, for distribution to the account of each Lender that has signed that, not later than 6:00 p.m. New York City time on March 30, 2009, shall have executed a counterpart of this Amendment No. 6 and delivered this Agreement the same to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)Agent, an amendment fee equal in such amount as shall have been previously disclosed to 0.05% of the Aggregate Outstandings of such Lender then in effectLenders by the Borrower.

Amendment Fee. The Administrative Agents Agent shall have received (i) paymentreceived, for distribution to the account of each Lender that has signed and delivered shall have executed this Agreement to the Administrative Agents by not later than 3:00 p.m. Amendment before 12:00 pm (New York City time) on May 3January 28, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)2004, an amendment fee in an amount equal to 0.050.10% of the Aggregate Outstandings aggregate amount of each such Lender then in effectLender’s Advances and Commitments.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, an amendment fee for distribution to the account of each Lender that has signed executes and delivered this Agreement delivers to the Administrative Agents by not later than 3:00 p.m. (Agent a signature page to this Amendment at or prior to 5:00 P.M., New York City time) , on May 3April 4, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents), 2011 in an amendment fee amount equal to 0.050.250% of the Aggregate Outstandings Total Revolving Credit Commitment of such Lender then in effectas of the Amendment Effective Date.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, for distribution to the account of each Lender that has signed that, not later than 6:00 p.m. New York City time on May 7, 2008, shall have executed a counterpart of this Amendment No. 3 and delivered this Agreement the same to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)Agent, an amendment fee equal in such amount as shall have been previously disclosed to 0.05% of the Aggregate Outstandings of such Lender then in effectLenders by the Borrower.

Amendment Fee. The Administrative Agents Agent shall have received (i) payment, for distribution to the account of each Lender that has signed that, not later than 6:00 p.m. New York City time on November 19, 2008, shall have executed a counterpart of this Amendment No. 5 and delivered this Agreement the same to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)Agent, an amendment fee equal in such amount as shall have been previously disclosed to 0.05% of the Aggregate Outstandings of such Lender then in effectLenders by the Borrower.

Amendment Fee. The Administrative Agents Agent shall have received (i) paymentreceived, for distribution to the account of each Lender that has signed and delivered which shall have executed this Agreement to the Administrative Agents by not later than 3:00 Amendment before 5:00 p.m. (New York City time) on May 3February 20, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents)2003, an amendment fee in an aggregate amount equal to 0.05.05% of the Aggregate Outstandings aggregate amount of each such Lender then in effectLender's Advances and Commitments.

Amendment Fee. The Administrative Agents shall have received (i) payment, for distribution to each Lender that has signed and delivered this Agreement to the Administrative Agents by not later than 3:00 p.m. (New York City time) on May 3September 22, 2006 (or such later time or date as agreed by the Borrower and the Administrative Agents), an amendment fee equal to 0.05% of the Aggregate Outstandings of such Lender then in effect.
