To effect the admission to the Partnership of any Partner, the General Partner shall take all steps necessary and or appropriate under the Delaware Act to amend the records of the Partnership to reflect such admission and, if necessary, to prepare as soon as practicable an amendment to this Agreement and, if required by law, the General Partner shall prepare and file an amendment to the Certificate of Limited Partnership, and the General Partner may for this purpose, among others, exercise the power of attorney granted pursuant to Section 2.6.. ARTICLE XI

Amendment of Agreement and Certificate of Limited Partnership. To effect the admission to the Partnership of any Partner, the General Partner shall take all steps necessary and appropriate under the Delaware Act to amend the records of the Partnership to reflect such admission and, if necessary, to prepare as soon as practicable practical an amendment to of this Agreement and, if required by law, the General Partner shall to prepare and file an amendment to the Certificate of Limited Partnership, Partnership and the General Partner may for this purpose, among others, exercise the power of attorney granted pursuant to Section 2.6.1.4. ​

To effect the admission to the Partnership of any Partner, the Managing General Partner shall take all steps necessary and appropriate under the Delaware Act to amend the records of the Partnership to reflect such admission and, if necessary, to prepare as soon as practicable an amendment to this Agreement and, if required by law, the Managing General Partner shall prepare and file an amendment to the Certificate of Limited Partnership, and the Managing General 238 Partner may for this purpose, among others, exercise the power of attorney granted pursuant to Section 2.6.

To effect the admission to the Partnership of any Partner, the General Partner shall take take, or cause to be taken, all steps necessary and or appropriate under the Delaware LP Act to amend the records of the Partnership to reflect such admission and, if necessary, to prepare as soon as practicable an amendment to this Agreement and, if required by law, the General Partner shall prepare and file file, or cause to be prepared and filed, an amendment to the Certificate of Limited HEP OPERATING COMPANY, L.P. FIRST AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP Partnership, and the General Partner may for this purpose, among others, exercise the power of attorney granted pursuant to Section 2.6.
