Common use of Amendment of Agreement and Certificate of Limited Partnership Clause in Contracts

Amendment of Agreement and Certificate of Limited Partnership. The General Partner shall take all steps necessary and appropriate under the Act to amend the books and records of the Partnership and to prepare as soon as practical an amendment of this Agreement (including an amendment of EXHIBIT A) to reflect the admission to the Partnership of any Partner and any corresponding changes in the Percentage Interests of the Partners, and, if required by law, shall prepare and file an amendment to the Certificate and may for the purposes of amending the Certificate exercise the power of attorney granted pursuant to Section 2.4 hereof. The General Partner shall promptly deliver a copy of any amendments to this Agreement or the Certificate to each Limited Partner.
