Common use of Amendment of Agreement and of Certificate of Limited Partnership Clause in Contracts

Amendment of Agreement and of Certificate of Limited Partnership. For the admission to the Partnership of any Partner, the General Partner shall take all steps necessary and appropriate to prepare and file as soon as practical an amendment of this Agreement and the Certificate of Limited Partnership, if required by law, and for this purpose may exercise the power of attorney granted in Section 1.4.

Amendment of Agreement and of Certificate of Limited Partnership. For In connection with the admission to the Partnership of any successor Partner, the General Partner shall take all steps necessary and appropriate to prepare and file as soon as practical an appropriate amendment of this Agreement and the Certificate of Limited Partnershipand, if required by law, to prepare and file an appropriate amendment of the Certificate of Limited Partnership and may for this purpose may exercise the power of attorney granted in pursuant to Section 1.4.
