Common use of Amendment of Certificate of Formation and Company Agreement Clause in Contracts

Amendment of Certificate of Formation and Company Agreement. Except as otherwise expressly set forth in this Company Agreement, the Certificate of Formation and this Company Agreement may be amended, supplemented or restated only by the vote of a majority of the outstanding Class A Interests. Upon obtaining the approval of any amendment to the Certificate of Formation, the Managers shall cause a Certificate of Amendment in accordance with the TBOC to be prepared, and such Certificate of Amendment shall be executed by not less than one (1) Manager and shall be filed in accordance with the TBOC.

Amendment of Certificate of Formation and Company Agreement.
