Common use of Amendment of Certificate of Incorporation Clause in Contracts

Amendment of Certificate of Incorporation. The Corporation reserves the right to amend, alter, change or repeal any provision contained in this Certificate (including any certificate of designations filed pursuant to the DGCL), in the manner now or hereafter prescribed by this Certificate and the DGCL; and except as set forth in ARTICLE VII, all rights, preferences and privileges herein conferred upon stockholders, directors or any other persons by and pursuant to this Certificate in its present form or as hereafter amended are granted subject to the right reserved in this Article.

Amendment of Certificate of Incorporation. The Corporation reserves shall have the right right, subject to amendany express provisions or restrictions contained in the Certificate of Incorporation, alter, change to amend the Certificate of Incorporation or repeal any provision contained thereof in this Certificate (including any certificate of designations filed pursuant to the DGCL), in the manner now or hereafter prescribed provided by this Certificate law, and the DGCL; all rights and except as set forth in ARTICLE VII, all rights, preferences and privileges herein powers of any kind conferred upon stockholders, directors a director or stockholder of the Corporation by the Certificate of Incorporation or any other persons by and pursuant to this Certificate in its present form or as hereafter amended amendment thereof are granted conferred subject to the right reserved in this Articlesuch right.
