Common use of Amendment of Certificate of Limited Partnership and Qualification Clause in Contracts

Amendment of Certificate of Limited Partnership and Qualification. The General Partner shall take all steps necessary and appropriate to prepare and record any amendments to the Certificate of Limited Partnership, as may be necessary or appropriate from time to time to comply with the requirements of the Act, including, without limitation, upon the admission to the Partnership of any general partner pursuant to the provisions of Article 16.5, and may for this purpose exercise the power of attorney delivered to the General Partner pursuant to Article 16.5 or 37. In addition, the General Partner shall take all steps necessary and appropriate to prepare and record any and all documents necessary to qualify the Partnership to do business in jurisdictions where the Partnership is doing business, and may for this purpose exercise the power of attorney delivered to the General Partner pursuant to Articles 16.4, 16.5 or 37.
