Amendment of Constitutive Documents. The Company shall not, and the Company shall not permit its Restricted Subsidiaries to, amend, modify or terminate, or consent to the amendment, modification or termination of the Certificate of Incorporation, Bylaws or other constitutive documents of the Company or any Restricted Subsidiary, as the case may be, unless the amendment, modification or termination would not have a material adverse effect upon the Company or any Restricted Subsidiary, either individually or taken as a whole, or have a material adverse effect on the rights and remedies of the Holders.
