Common use of Amendment of Governing Documents Clause in Contracts

Amendment of Governing Documents. The Borrower shall not, and shall not permit any of its Subsidiaries or any other Person to, amend, modify or supplement its Operating Agreement or any other organizational or governing document of the Borrower or any of its Subsidiaries, unless required by law, in any manner adverse, as reasonably determined by the Agent, to the Borrower, such Subsidiary or the Banks.

The Borrower shall not, and shall not permit any of its Subsidiaries or any other Person to, amend, modify or supplement its Operating Agreement Certificate or any Articles of Incorporation, By-Laws, Certificate of Limited Partnership, partnership agreement or other organizational or governing document of the Borrower documents or any of its Subsidiariesshareholders or security holders agreement, unless required by law, in any manner adverse, that is adverse to the interests of the Banks (as may be reasonably determined by the Agent, to the Borrower, such Subsidiary or the Banks).
