Amendment of Material Documents; Material Licenses. (a) Amend, modify or waive any of a Loan Party’s rights under (i) its Organization Documents in a manner materially adverse to the Credit Parties, (ii) the First Lien Credit Agreement or any other documentation relating to the First Lien Facility that would shorten the maturity thereof or otherwise, when taken as a whole, be materially adverse to the Credit Parties or in a manner that would violate the First Lien Intercreditor Agreement, or (iii) any Material License which would have a material adverse impact on the Lenders (as reasonably determined by the Agent and the Arranger), without the prior express written consent of the GSO Entities.
