Common use of Amendment; Resignation Clause in Contracts

Amendment; Resignation. (a) This Agreement and/or the terms of the Offering to the extent it affects this Agreement, may be altered or amended only with the written consent of all of the parties hereto. (b) Should Stonegate attempt to change this Agreement and/or the terms of the Offering in a manner which, in the Escrow Agent’s sole opinion, is undesirable, the Escrow Agent may resign as escrow agent upon three days’ written notice to Stonegate, Seller and the Buyers; otherwise, it may resign as escrow agent at any time upon five days’ written notice to Stonegate, Seller and the Buyers. In the case of the Escrow Agent’s resignation, its only duty shall be to hold and dispose of the Escrow Account in accordance with the original provisions of this Agreement until a successor escrow agent shall be appointed, and written notice of the name and address of such successor escrow agent shall be given to the Escrow Agent by Stonegate, whereupon the Escrow Agent’s only duty shall be to pay over to the successor escrow agent the Escrow Account, less any portion thereof previously paid out in accordance with the Agreement.

(b) Should Stonegate the Company attempt to change this Agreement and/or the terms of the Offering in a manner which, in the Escrow Agent’s sole opinion, is undesirable, the Escrow Agent may resign as escrow agent upon three ten days’ written notice to Stonegate, Seller Placement Agent and the BuyersCompany; otherwise, it may resign as escrow agent at any time upon five 30 days’ written notice to Stonegate, Seller Placement Agent and the BuyersCompany. In the case of the Escrow Agent’s resignation, its only duty shall be to hold and dispose of the Escrow Account in accordance with the original provisions of this Agreement until a successor escrow agent shall be appointed, and written notice of the name and address of such successor escrow agent shall be given to the Escrow Agent by StonegatePlacement Agent, whereupon the Escrow Agent’s only duty shall be to pay over to the successor escrow agent the Escrow Account, less any portion thereof previously paid out in accordance with the Agreement.

In the case of the Escrow Agent’s resignation, 's resignation its only duty shall be to hold and dispose of the Escrow Account escrowed funds in accordance with the original provisions of this Agreement until a successor escrow agent Escrow Agent shall be appointed, appointed and written notice of the name and address of such successor escrow agent Escrow Agent and a direction to transfer the escrowed funds to such successor shall be given to the Escrow Agent by Stonegate, the Buyer and Seller whereupon the Escrow Agent’s 's only duty shall be to pay over to the successor escrow agent Escrow Agent, the Escrow Accountescrowed funds, less any portion thereof previously paid out in accordance with the this Agreement.
