Common use of Amendment; Severability Clause in Contracts

Amendment; Severability. This Agreement may only be modified by mutual written agreement signed by authorized persons on behalf of each Party. If any term or provision of this Agreement is found to be invalid, illegal or unenforceable, such invalidity, illegality or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable any other such term or provision. Upon a determination that any term or provision is invalid, illegal or unenforceable, the Parties shall negotiate in good faith to modify this Agreement to effect and preserve the original intent of this Agreement. If the Parties fail to agree, the unenforceable provision will be severed from this Agreement, which will otherwise continue in full force and effect.
