Common use of Amendment, Suspension and Termination Clause in Contracts

Amendment, Suspension and Termination. This Agreement may be wholly or partially amended or otherwise modified, suspended or terminated at any time or from time to time by the Committee, provided, that, except as may otherwise be provided, directly or indirectly, in this Agreement, no amendment, modification, suspension or termination of this Agreement shall adversely effect the Restricted Shares without the prior written consent of Holder.
