Amendment to Article 9. Article 9 of the Credit Agreement is ---------------------- hereby amended by adding thereto the following new Section 9.11 and Section 9.12:
Amendment to Article 9. Section 902(1) of the Indenture is hereby amended by adding the phrase "or reduce any amount payable on redemption thereof or upon exercise of the Redemption Right with respect thereto, or" immediately following the phrase "or any premium payable upon the redemption thereof," and immediately preceding the phrase "or reduce the amount of the principal of an Original Issue Discount Security".
Amendment to Article 9. Article 9 of the Merger Agreement is ---------------------- --------- hereby amended by adding the following provisions to the end thereof:

Section 9.1 is hereby amended by inserting the following phrase after the word "Total Debt" in clause (a) of such Section 9.1: ", less the aggregate amount of cash and Cash Equivalents of the Borrower in excess of Twenty Million Dollars ($20,000,000) available for the immediate repayment of Debt of the Borrower,"
Amendment to Article 9. Effective as of the date hereof, a new Section 9.20 is hereby added at the end of Article 9 of the Loan Agreement, to read in its entirety as follows:

Amendment to Article 9 of the Indenture is hereby amended by replacing each reference to Section 4.15 contained therein with a reference to Section 4.14.
Amendment to Article 9. Article 9 of the Supply and Purchase Agreement among Takeda, SPA and RTU is hereby amended in their entirety to read as follows: ‘The term of this Agreement shall commence on the Effective Date and shall continue in full force and effect until termination of the Collaboration and License Agreement in accordance with Article 13 of the Collaboration and License Agreement. SPI shall notify RTU of the termination of the Collaboration and License Agreement when such termination occurs.’
