The election, appointment, nomination or designation of Senior Securities Directors by the Holders in accordance with, and upon the conditions set forth in Section 5.12(e) is permitted by the laws of the jurisdiction of organization of the Company. The Company has taken all action necessary to permit the Holders to elect, appoint, nominate or designate the Senior Securities Directors, as applicable, in accordance with, and upon the events set forth in, Section 5.12(e), including amending its Charter and any other applicable organizational documents, agreements or arrangements as necessary.
