Amendment to Clause 8. 1. Pursuant to this Amendment, clause 8.1 of the Research and Licence Agreement is hereby amended and restated in its entirety to read as follows: BIOVATION hereby represents and warrants to MICROMET that (a) the BIOVATION PATENT RIGHTS include all patents and patent applications owned or controlled by BIOVATION or, to the best of Biovation’s knowledge, its affiliates, specifically related to DEIMMUNISATION TECHNOLOGY that would be infringed by the manufacture, use, sale, or importation of PRODUCTS or BISPECIFIC PRODUCTS by MICROMET incorporating the Inventions; (b) the BIOVATION PATENT RIGHTS (as defined above) shall include patent application [***]filed by [***]and published on [***] strictly for the manufacture, use, sale, or importation of BISPECIFIC PRODUCTS by MICROMET incorporating the Inventions; and (c) the performance of its own obligations hereunder will not conflict with any existing obligation of BIOVATION to a third party.
Amendment to Clause 8. 2: Clause 8.2 of the E&O Agreement is hereby amended by deleting “1%” appearing therein and replacing the same with “0.6%”.
