Amendment to Commitment and JV Scope. Notwithstanding anything to the contrary contained herein, if the Clean Hydrogen Energy Portfolio Standards and any other rules and regulations applicable or relevant to the Products that are promulgated or amended by the government of Korea deviate materially from the Parties’ economic-value expectations, which are that the Clean Hydrogen Energy Portfolio Standards incentive will be substantially similar to the existing renewable-portfolio-standard (RPS) incentive based on renewable energy credits (RECS) of at least one-hundred thousand Korean Won per megawatt hour (KRW 100,000/ MWh) then Distributor and Bloom Corp shall negotiate in good faith to amend the Original Quarterly Quantities set forth in Section 2(e)(i) above and the JV Scope.
