Amendment to Agreement The Agreement is hereby amended as follows:
No Amendment to Charter 3.26.1. Prior to the closing of a Business Combination, the Company covenants and agrees it will not seek to amend or modify its amended and restated certificate of incorporation without the prior approval of its Board of Directors and the affirmative vote of at least 65% of the voting power of the Common Stock.
Amendment to Preamble The Preamble is hereby amended by deleting the words "Managing Agent" appearing on the fifth line of the second paragraph thereof and substituting therefor the words "Collateral Agent", and by adding the following words therein after the reference to "Agreement)" appearing on the seventh line of the second paragraph thereof: ", and the Banks that are parties to the Supplemental Reducing Revolving Loan Agreement (as at any time amended, the "Supplemental Loan Agreement") dated as of March 13, 1997, among Borrowers, certain of the Banks party to the Loan Agreement, and Bank of America National Trust and Savings Association, as Managing Agent".
Amendment to Article IX Article IX of the Credit Agreement is hereby amended by inserting the following text as a new Section 9.02A to the Credit Agreement:
Amendment to Schedule The Grantor authorizes the Collateral Agent to modify this Agreement and the Assignments of Patents, without the necessity of such Grantor’s further approval or signature, by amending Schedule A hereto and the Annex to each Assignment of Patents to include any future or other Patents or Patent Licenses that become part of the Patent Collateral under Section 2 or Section 3.1.
Effect of Amendment and Restatement It is the intent of the parties hereto that this Agreement shall, as of the date hereof, replace in its entirety the Original Trust Agreement; provided, however, that with respect to the period of time from January 20, 2021 through the date hereof, the rights and obligations of the parties shall be governed by the Original Trust Agreement; and provided further, that the amendment and restatement of the Original Trust Agreement shall not affect any of the grants, conveyances or transfers contemplated by the Original Trust Agreement to have occurred prior to the date hereof.
Amendment to Credit Agreement The Credit Agreement is hereby amended as follows:
Amendment to Forbearance Agreement As of the date hereof, Section 2(b) of the Forbearance Agreement shall be amended and restated in its entirety to read as follows:
