AMENDMENT TO DECEMBER 16, 1998 INDENTURE. An amendment to the December 16, 1998 Indenture relating to the 2005 Senior Notes, in form and substance satisfactory to the Co-Agent and the Agent, shall have been duly authorized and approved by the requisite holders of the 2005 Senior Notes and shall have been duly executed by Parent and the Trustee under the December 16, 1998 Indenture, and Borrower Parties shall have delivered a certified copy of the same to the Co-Agent and the Agent.
