Amendment to Indemnification. Section 9.6 of the Agreement is amended to insert the phrase "(including reasonable counsel fees)" immediately following the word "expenses" in the seventh line of Section 9.6.

Amendment to Indemnification. For so long as a Purchaser Designee is serving on the Board, the Company shall not amend any provision relating to indemnification in its bylaws or Articles of Incorporation, as amended, without the written consent of Purchaser.
