Common use of Amendment to Material Documents Clause in Contracts

Amendment to Material Documents. Without the prior written consent of the Administrative Agent, the Borrower will not, and will not permit any of its Subsidiaries to, amend, modify or waive any of its rights under (a) its certificate of incorporation, bylaws or other organizational documents or (b) any Material Agreements, except in any manner that would not have a material adverse effect on the Lenders, the Administrative Agent, or a Material Adverse Effect on the Borrower and its Subsidiaries taken as a whole.

Without the prior written consent of the Administrative Agent, the Borrower will not, and will not permit any Loan Party or any of its their respective Subsidiaries to, amend, modify or waive any of its rights under (a) its certificate of incorporationany Organizational Documents, bylaws or other organizational documents (b) any operating agreements affecting the Mortgaged Properties, or (bc) any Material Agreements, except in any manner that would not have a material adverse effect on the Lenders, the Administrative Agent, or a Material Adverse Effect on the Borrower and its Subsidiaries taken as a whole.
