Amendment to Original Promissory Note. The Original Promissory Note shall be amended and restated in accordance with the provisions of that certain Amended and Restated Promissory Note (which Amended and Restated Promissory Note, as the same may from time to time be extended, replaced, amended, restated or otherwise modified, is herein the "Amended and Restated Promissory Note") in the form attached hereto as Exhibit 5.2 to reflect, inter alia, the Restructuring, an increase in the Base Rate, and American Land's assumption of ACPT's obligations under the Credit Facility and Original Loan Documents. The Amended and Restated Promissory Note has been executed and delivered by IGC and American Land simultaneously herewith.
