Amendment to Paragraph 9. 6(d). Paragraph 9.6(d) is amended to change the last phrase of the last sentence in the paragraph from “shall be done by Onyx” to “may be done by either Party.”

Amendment to Paragraph 9. 1. Paragraph 9.1 of the Agreement is hereby amended to add a new Paragraph 9.1(c) and shall read as follows (modifications shown in strikethrough and underline): The Licensee shall provide written annual reports outlining results of its evaluation of the Licensed Patent Rights, the Licensed Products, Materials, and/or the Licensed Processes provided by this Agreement at the following times: a. by no later than thirty (30) days prior to the end of the first anniversary of the Effective Date of this Agreement; b. within thirty (30) days following the second anniversary of the Effective Date of this Agreement, or termination of this Agreement, whichever occurs earlier; and c. Within thirty (30) days following the third anniversary of the Effective Date of this Agreement, or termination of this Agreement, whichever occurs earlier.
