Amendment to Section 5.04(b). Section 5.04(b) of the Credit Agreement shall be amended by (a) deleting each reference to “Parent” therein and replacing it with “Buffalo Parent” in lieu thereof, and (b) adding the following clause at the end thereof: “; provided, that if, at any time, Buffalo Parent (I) ceases to directly and beneficially own 100% on a fully diluted basis of the economic and voting interests in the Equity Interests in the Parent, or (II) engages in any business or activity, or owns any assets, other than owning 100% of the economic and voting interests in the Equity Interests in the Parent and activities and assets incidental or related thereto, the financial statements required to be delivered pursuant to this Section 5.04(b) shall be the financial statements of the Parent and the Subsidiaries.”
