Common use of AMENDMENT TO THE ARTICLES OF ASSOCIATION Clause in Contracts

AMENDMENT TO THE ARTICLES OF ASSOCIATION. 2.1 Article 5.1 of the Articles of Association shall be revised to read as follows: “The JV Company’s total amount of investment shall be increased by Six Hundred Million RMB (RMB 600,000,000) from Eight Thousand One Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,194,950,000) to Eight Thousand Seven Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,794,950,000), and its registered capital shall be increased by Six Hundred Million RMB (RMB 600,000,000) from Four Thousand Two Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,231,840,000) to Four Thousand Eight Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,831,840,000). Of the increased amount of registered capital of Six Hundred Million RMB (RMB 600,000,000), each Party shall contribute a cash amount of Three Hundred Million RMB (RMB 300,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved the Articles of Association Amendment No. 9 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Articles of Association shall not apply to the increase of registered capital under the Articles of Association Amendment No. 9.”

AMENDMENT TO THE ARTICLES OF ASSOCIATION. 2.1 Article 5.1 of the Articles of Association shall be revised to read as follows: “The JV Company’s total amount of investment shall be increased by Six One Thousand Seven Hundred Million RMB (RMB 600,000,0001,700,000,000) from Eight Thousand One Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,194,950,000) to Eight Thousand Seven Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,794,950,000), and ) to Ten Thousand Four Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 10,494,950,000) while its registered capital shall be increased by Six Five Hundred Million RMB (RMB 600,000,000500,000,000) from Four Five Thousand Two Thirty One Million Eight Hundred Forty Thousand RMB (RMB 5,031,840,000) to Five Thousand Five Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,231,840,000) to Four Thousand Eight Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,831,840,0005,531,840,000). Of the increased amount of registered capital of Six Five Hundred Million RMB (RMB 600,000,000500,000,000), each Party shall contribute a cash amount of Three Two Hundred Fifty Million RMB (RMB 300,000,000250,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved the Articles of Association Amendment No. 9 12 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Articles of Association shall not apply to the increase of registered capital under the Articles of Association Amendment No. 912.”

AMENDMENT TO THE ARTICLES OF ASSOCIATION. 2.1 Article 5.1 of the Articles of Association shall be revised to read as follows: “The JV Company’s total amount of investment shall be increased by Six Hundred Million RMB (RMB 600,000,000) from Eight Thousand One Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,194,950,000) to remain at Eight Thousand Seven Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,794,950,000), and ) while its registered capital shall be increased by Six Two Hundred Million RMB (RMB 600,000,000200,000,000) from Four Thousand Two Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,231,840,000) to Four Thousand Eight Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,831,840,000) to Five Thousand Thirty One Million Eight Hundred Forty Thousand RMB (RMB 5,031,840,000). Of the increased amount of registered capital of Six Two Hundred Million RMB (RMB 600,000,000200,000,000), each Party shall contribute a cash amount of Three One Hundred Million RMB (RMB 300,000,000100,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved the Articles of Association Amendment No. 9 10 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Articles of Association shall not apply to the increase of registered capital under the Articles of Association Amendment No. 910.”

Of the increased amount of registered capital of Six Five Hundred Million RMB (RMB 600,000,000500,000,000), each Party shall contribute a cash amount of Three Two Hundred Fifty Million RMB (RMB 300,000,000250,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved the Articles of Association Amendment No. 9 15 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Articles of Association shall not apply to the increase of registered capital under the Articles of Association Amendment No. 915.”

AMENDMENT TO THE ARTICLES OF ASSOCIATION. 2.1 Article 5.1 of the Articles of Association shall be revised to read as follows: “The JV Company’s total amount of investment shall be increased by Six One Thousand One Hundred Million RMB (RMB 600,000,0001,100,000,000) from Eight Ten Thousand One Four Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,194,950,00010,494,950,000) to Eight Eleven Thousand Seven Five Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,794,950,000), and 11,594,950,000) while its registered capital shall be increased by Six Four Hundred Million RMB (RMB 600,000,000400,000,000) from Four Five Thousand Two Five Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,231,840,0005,531,840,000) to Four Five Thousand Eight Nine Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,831,840,0005,931,840,000). Of the increased amount of registered capital of Six Four Hundred Million RMB (RMB 600,000,000400,000,000), each Party shall contribute a cash amount of Three Two Hundred Million RMB (RMB 300,000,000200,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved the Articles of Association Amendment No. 9 14 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Articles of Association shall not apply to the increase of registered capital under the Articles of Association Amendment No. 914.”

AMENDMENT TO THE ARTICLES OF ASSOCIATION. 2.1 Article 5.1 of the Articles of Association shall be revised to read as follows: “The JV Company’s total amount of investment shall be increased by Six Hundred Million RMB (RMB 600,000,000) from Seven Thousand Five Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 7,594,950,000) to Eight Thousand One Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,194,950,000) to Eight Thousand Seven Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,794,950,000), and its registered capital shall be increased by Six Three Hundred Million RMB (RMB 600,000,000300,000,000) from Three Thousand Nine Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 3,931,840,000) to Four Thousand Two Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,231,840,000) to Four Thousand Eight Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,831,840,000). Of the increased amount of registered capital of Six Three Hundred Million RMB (RMB 600,000,000300,000,000), each Party shall contribute a cash amount of Three One Hundred Fifty Million RMB (RMB 300,000,000150,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved the this Articles of Association Amendment No. 9 8 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Articles of Association shall not apply to the increase of registered capital under the this Articles of Association Amendment No. 98.”

AMENDMENT TO THE ARTICLES OF ASSOCIATION. 2.1 Article 5.1 of the Articles of Association shall be revised to read as follows: “The JV Company’s total amount of investment shall be increased by Six Hundred Million RMB (RMB 600,000,000) from Eight Six Thousand One Nine Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,194,950,0006,994,950,000) to Eight Seven Thousand Seven Five Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 8,794,950,0007,594,950,000), and its registered capital shall be increased by Six Four Hundred Fifty Million RMB (RMB 600,000,000450,000,000) from Three Thousand Four Hundred Eighty One Million Eight Hundred and Forty Thousand Two RMB (RMB 3,481,840,000) to Three Thousand Nine Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,231,840,000) to Four Thousand Eight Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 4,831,840,0003,931,840,000). Of the increased amount of registered capital of Six Four Hundred Fifty Million RMB (RMB 600,000,000450,000,000), each Party shall contribute a cash amount of Three Two Hundred Twenty Five Million RMB (RMB 300,000,000225,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved the this Articles of Association Amendment No. 9 7 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Articles of Association shall not apply to the increase of registered capital under the this Articles of Association Amendment No. 97.”
