Amendment to Two Harbors Management Agreement. PRCM Advisers LLC shall have entered into that certain First Amendment to the Management Agreement dated as of October 28, 2009 to revise the definition of “Stockholders’ Equity” to exclude from such amount the value of the consideration to be received by Two Harbors in the Formation Transactions.
