Amendment, Waivers and Assignment. 20.1 This Agreement may be amended in whole or in part only by the written agreement of the parties hereto. 20.2 No waiver of any provision of this Agreement shall be implied, and no waiver shall be valid unless it is in writing and signed by the party waiving its rights. No waiver of any breach of any of the terms, provisions or conditions of this Agreement shall be construed as or held to be a waiver of any other breach, or a waiver of, acquiescence in, or consent to, any further or succeeding breach hereof. 20.3 The Service Provider may not assign its rights under this Agreement without the prior written consent of the County, and any attempt to do so shall be a breach of this Agreement and shall be void.
