Common use of Amendments and Financing Statements Clause in Contracts

Amendments and Financing Statements. The Issuer will (i) execute and deliver amendments to this Indenture and other documents, (ii) file or authorize and cause to be filed financing statements and amendments and continuations of those financing statements and (iii) take other action necessary or advisable to: (A) maintain or preserve the Lien and security interest (and the priority of the security interest) of this Indenture; (B) perfect, maintain perfection, publish notice of or protect the validity of a Grant made or to be made by this Indenture; (C) enforce the Collateral; or (D) maintain and defend title to the Collateral and the rights of the Indenture Trustee and the Secured Parties in the Collateral against the claims of all Persons, subject to Permitted Liens and the Transaction Documents.

The Issuer Borrowers will (i) execute and deliver amendments to this Indenture Agreement and other documents, (ii) file or authorize and cause to be filed financing statements statements, and amendments and continuations of those financing statements and (iii) take other action necessary or advisable to: (A) maintain or preserve the Lien and security interest (and the priority of the security interest) of this IndentureAgreement; (B) perfect, maintain perfection, publish notice of or protect the validity of a the Grant made or to be made by this IndentureAgreement; (C) enforce the Borrower Collateral; or (D) maintain preserve and defend title to the Borrower Collateral and the rights of the Indenture Trustee Collateral Agent and the Secured Parties in the Collateral against the claims of all Persons, subject to Permitted Liens and the Transaction DocumentsBorrower Collateral.
