Common use of Amendments and Supplements to the Offering Memorandum Clause in Contracts

Amendments and Supplements to the Offering Memorandum. If, prior to the completion of the placement of the Securities by the Initial Purchasers with the Subsequent Purchasers, any event shall occur or condition exist as a result of which it is necessary to amend or supplement the Offering Memorandum in order to make the statements therein, in the light of the circumstances when the Offering Memorandum is delivered to a purchaser, not misleading, or if in the opinion of the Initial Purchasers or counsel for the Initial Purchasers it is otherwise necessary to amend or supplement the Offering Memorandum to comply with applicable law, the Company agrees to prepare promptly (subject to Section 3(a) hereof), and furnish at its own expense to the Initial Purchasers, amendments or supplements to the Offering Memorandum so that the statements in the Offering Memorandum as so amended or supplemented will not, in the light of the circumstances when the Offering Memorandum is delivered to a purchaser, be misleading or so that the Offering Memorandum, as amended or supplemented, will comply with applicable law.

Amendments and Supplements to the Offering Memorandum. If, prior to the completion of the placement resale of the Securities Shares by the Initial Purchasers with the Investor to Subsequent Purchasers, any event shall occur or condition exist as a result of which it is necessary to amend or supplement the Offering Memorandum in order to make the statements therein, in the light of the circumstances when the Offering Memorandum such document is delivered to a purchaserprospective Subsequent Purchaser, not misleading, or if in the reasonable opinion of the Initial Purchasers or counsel for the Initial Purchasers Investor it is otherwise necessary to amend or supplement the Offering Memorandum to comply with applicable law, the Company agrees agrees, promptly upon the Investor’s written request, to prepare promptly (subject to Section 3(a) hereof), and furnish at its own expense to the Initial Purchasers, Investor such number of copies of amendments or supplements to the Offering Memorandum as are reasonably requested by the Investor containing such information as is necessary so that the statements in the Offering Memorandum therein as so amended or supplemented will not, in the light of the circumstances when the Offering Memorandum such document is delivered to a purchaserprospective Subsequent Purchaser, be misleading or so that the Offering Memorandumsuch document, as amended or supplemented, will comply with applicable law. The Company hereby expressly acknowledges that the indemnification and contribution provisions of Section 10 of this Agreement are specifically applicable and relate to each Offering Memorandum amendment or supplement referred to in this Section 2(i)(D).
