Amendments; Assignment. This Agreement may be amended only by a written instrument signed by all the parties hereto. Neither this Agreement nor any of the rights, interests or obligations hereunder shall be assigned without the prior written consent of all parties hereto; provided, however, Advisor shall be entitled to assign this Agreement or any of its rights, interests or obligations hereunder, either in whole or in part, to any one or more of its affiliates without the prior written consent of the Clients.
