Common use of Amendments; Execution in Counterparts; Severability Clause in Contracts

Amendments; Execution in Counterparts; Severability. (a) This Amendment may not be amended nor may any provision hereof be waived except pursuant to Section 11.01 of the Credit Agreement; and (b) If any provision of this Amendment is held to be illegal, invalid or unenforceable, the legality, validity and enforceability of the remaining provisions of this Amendment shall not be affected or impaired thereby. The invalidity of a provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

(a) This Amendment may not be amended nor may any provision hereof be waived except pursuant to in accordance with the provisions of Section 11.01 9.02 of the Credit Agreement; and (b) If To the extent any provision of this Amendment is held prohibited by or invalid under the applicable law of any jurisdiction, such provision shall be ineffective only to be illegalthe extent of such prohibition or invalidity and only in such jurisdiction, invalid without prohibiting or unenforceable, the legality, validity and enforceability of invalidating such provision in any other jurisdiction or the remaining provisions of this Amendment shall not be affected or impaired thereby. The invalidity of a provision in a particular jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
