Common use of Amendments of the Agreement Clause in Contracts

Amendments of the Agreement. This Agreement may be amended by the parties only if such amendment is specifically approved by (i) a majority of those directors who are not parties to this Agreement or interested persons of any such party cast in person at a meeting called for the purpose of voting on such approval; (ii) the vote of a majority of outstanding voting securities of the Corporation; and (iii) with respect to amendments affecting an individual Fund, by the vote of majority of outstanding voting securities of such Fund.

This Agreement may be amended with respect to a Fund by the parties only if such amendment is specifically approved by (i) the Trustees of the Fund or by the vote of a majority of outstanding voting securities of the Fund and (ii) a majority of those directors Trustees of the Fund who are not parties to this Agreement or interested persons of any such party cast in person at a meeting called for the purpose of voting on such approval; (ii) the vote of a majority of outstanding voting securities of the Corporation; and (iii) with respect to amendments affecting an individual Fund, by the vote of majority of outstanding voting securities of such Fund.
