Common use of Amendments or Waivers of Certain Agreements Clause in Contracts

Amendments or Waivers of Certain Agreements. No Loan Party will agree to any amendment to, or waive any of its rights under, any Related Agreement (other than any agreement evidencing or governing any Subordinated Indebtedness) in a manner that could reasonably be expected to materially adversely affect the Lenders after the Effective Date without in each case obtaining the prior written consent of Administrative Agent (acting at the instruction of Requisite Lenders) to such amendment or waiver.

No Loan Party will agree to any amendment to, or waive any of its rights under, any Related Agreement (other than any agreement evidencing or governing any Subordinated Indebtedness) in a manner that could reasonably be expected to materially adversely affect the Lenders after the Effective Second Restatement Date without in each case obtaining the prior written consent of Administrative Agent (acting at the instruction of Requisite Lenders) to such amendment or waiver.

No Loan Party will, nor will it permit any of its Restricted Subsidiaries to, agree to any amendment to, or waive any of its rights under, any Related Agreement (other than any agreement evidencing or governing any Subordinated Indebtedness) of its respective Organizational Documents in a manner that that, individually or in the aggregate, could reasonably be expected to materially and adversely affect in any material respect the rights or interests of Administrative Agent, the Lenders after or the Effective Date without in each case obtaining the prior written consent of Administrative Agent (acting at the instruction of Requisite Issuing Lenders) to such amendment or waiver.
