Agree to any amendment to or waiver of the terms or provisions of its Governing Documents except for amendments or waivers which would not, either individually or collectively, be materially adverse to the interests of the Lender Group; provided, that any amendment or waiver to the Governing Documents which adversely affects the validity or priority of the Lender’s security interest in any of the Collateral shall be deemed to be materially adverse to the interests of the Lender Group.
