Common use of Amendments, Supplements and Appraisal Clause in Contracts

Amendments, Supplements and Appraisal. Without limitation of the foregoing, Lessee agrees to pay to the Certificate Purchasers, Certificate Trustee, Administrative Agent, Information Agent and the Lenders all costs and expenses (including Participation Agreement reasonable legal fees and expenses) incurred by any of them in connection with: (i) the considering, evaluating, investigating, negotiating and entering into or giving or withholding of any amendments or supplements or waivers or consents with respect to any Operative Document; (ii) any Event of Loss or termination of the Lease or any other Operative Document; (iii) the negotiation and documentation of any restructuring or "workout," whether or not consummated, of any Operative Document; (iv) the enforcement of the rights or remedies under the Operative Documents; (v) any transfer by Administrative Agent or a Participant of any interest in the Operative Documents during the continuance of a Lease Event of Default; and (vi) any Advance Date or Delivery Date.

Without limitation of the foregoing, Lessee agrees to pay to the Certificate PurchasersParticipants, Certificate Trustee, Administrative Agent, Information Trustee and Agent and the Lenders all costs and expenses (including Participation Agreement reasonable legal fees and expensesexpenses of counsel to Agent, Certificate Trustee and the Participants) incurred by any of them in connection with: (i) the considering, evaluating, investigating, negotiating and entering into or giving or withholding of any amendments or supplements or waivers or consents with respect to any Operative Document; (ii) any Event of Loss Casualty or termination of the Lease or any other Operative Document; (iii) the negotiation and documentation of any restructuring or "workout," whether or not consummated, of any Operative Document; (iv) the enforcement of the rights or remedies under the Operative Documents; or (v) any transfer by Administrative Agent Certificate Trustee or a Participant of any interest in the Operative Documents during the continuance of a Lease Event of Default; and (vi) any Advance Date or Delivery Date.

Without limitation of the foregoing, from and after the Closing Date, the Lessee agrees to pay to the Certificate PurchasersParticipants, Certificate Trustee, Administrative Agent, Information Agent Trustee and the Lenders Agents all reasonable out-of-pocket costs and expenses (including Participation Agreement reasonable legal fees and expensesexpenses of special counsel to the Agents and Certificate Trustee and document counsel) incurred by any of them in connection with: (i) the considering, evaluating, investigating, negotiating and entering into or giving or withholding of any amendments or supplements or waivers or consents with respect to any Operative Document; (ii) any Event of Loss Loss, or termination of the Lease or any other Operative Document; (iii) the negotiation and documentation of any restructuring or "workout," whether or not consummated, of any Operative Document; (iv) the enforcement of the rights or remedies under the Operative Documents; (v) any transfer by Administrative Agent Certificate Trustee or a Participant of any interest in the Operative Documents during the continuance of a Lease Event of Default; and or (vi) any Advance Date or Delivery Date.

Without limitation of the foregoing, from and after the Completion Date for any Site, Lessee agrees to pay to the Certificate PurchasersParticipants, Certificate Trustee, Administrative Agent, Information Trustee and Agent and the Lenders all costs and expenses (including Participation Agreement reasonable legal fees and expensesexpenses of special counsel to Agent and Certificate Trustee and the document counsel for the Participants) incurred by any of them in connection with: (i) the considering, evaluating, investigating, negotiating and entering into or giving or withholding of any amendments or supplements or waivers or consents with respect to any Operative Document; (ii) any Casualty, Condemnation, Event of Loss Loss, Event of Taking or termination of the Lease or any other Operative Document; (iii) the negotiation and documentation of any restructuring or "workout," whether or not consummated, of any Operative Document; (iv) the enforcement of the rights or remedies under the Operative Documents; (v) any transfer by Administrative Agent Certificate Trustee or a Participant of any interest in the Operative Documents during the continuance of a Lease Event of Default; and (vi) any Advance Date or Delivery Date.of
