Amendments to Certain Spin-Off Documents. The Borrower will not permit any amendment to the Separation and Distribution Agreement, the Transition Services Agreement, the Tax Matters Agreement or the Employee Matters Agreement that are materially adverse to the Lenders, as determined in good faith by the Borrower.
