AMENDMENTS TO EXISTING NOTE PURCHASE AGREEMENT. The Company and, subject to the satisfaction of the conditions set forth in Section 6, each of the Noteholders, each hereby consents and agrees to the amendments to the Existing Note Purchase Agreement set forth in Exhibit A to this Agreement. Each such amendment is incorporated herein by reference as if set forth verbatim in this Agreement.

AMENDMENTS TO EXISTING NOTE PURCHASE AGREEMENT. The Company andSubject to Section 4.3, subject to the satisfaction of the conditions set forth in Section 6, each of the Noteholders, each hereby consents and agrees to the amendments to the Existing Note Purchase Agreement set forth is hereby amended in the manner specified in Exhibit A to this Agreement. Each such amendment is incorporated herein by reference as if set forth verbatim in this Agreement.

AMENDMENTS TO EXISTING NOTE PURCHASE AGREEMENT. The Subject to Section 5, the Noteholder and the Company and, subject hereby agree to the satisfaction of the conditions set forth in Section 6, each of the Noteholders, each hereby consents and agrees to the amendments to the Existing Note Purchase Agreement set forth as provided for by this Amendment No. 1 to Note Purchase and Shelf Agreement (this “Agreement”) in the manner specified in Exhibit A A. Such amendments are referred to this Agreement. Each such amendment is incorporated herein by reference herein, collectively, as if set forth verbatim in this Agreementthe “Amendments”.
