AMENDMENTS TO INCENTIVE PAYMENTS AGREEMENT. The Borrower will not amend or permit any amendment to the Incentive Payments Agreement or any other agreement which would have the effect of increasing the amount of any Incentive Payments or making such amounts due sooner, or which could otherwise have an adverse effect on the Lenders' interests hereunder. The Borrower will not, and will not permit any of its Subsidiaries to, make any payments (either in cash or in kind) under the Incentive Payments Agreement after the occurrence of and during the continuation of any Default hereunder.
