Common use of AMENDMENTS TO THE CONTRACT Clause in Contracts

AMENDMENTS TO THE CONTRACT. of the Contract shall be revised to read as follows: “The JV Company’s total amount of investment shall be increased by Six Hundred Million RMB (RMB 600,000,000) from Six Thousand Nine Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 6,994,950,000) to Seven Thousand Five Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 7,594,950,000), and its registered capital shall be increased by Four Hundred Fifty Million RMB (RMB 450,000,000) from Three Thousand Four Hundred Eighty One Million Eight Hundred Forty Thousand RMB (RMB 3,481,840,000) to Three Thousand Nine Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 3,931,840,000). Of the increased amount of registered capital of Four Hundred Fifty Million RMB (RMB 450,000,000), each Party shall contribute a cash amount of Two Hundred Twenty Five Million RMB (RMB 225,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved this Contract Amendment No. 7 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Contract shall not apply to the increase of registered capital under this Contract Amendment No. 7.”

Agree that Article 5.1 of the Contract shall be revised to read as follows: “The JV Company’s total amount of investment shall be increased by Six One Thousand Seven Hundred Million RMB (RMB 600,000,0001,700,000,000) from Six Thousand Nine Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 6,994,950,000) to Seven Eleven Thousand Five Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 7,594,950,000), and 11,594,950,000) to Thirteen Thousand Two Hundred Ninety Four Million Nine Hundred Fifty Thousand RMB (RMB 13,294,950,000) while its registered capital shall be increased by Four Five Hundred Fifty Million RMB (RMB 450,000,000500,000,000) from Three Thousand Four Hundred Eighty One Million Eight Hundred Forty Thousand RMB (RMB 3,481,840,000) to Three Five Thousand Nine Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 3,931,840,0005,931,840,000) to Six Thousand Four Hundred Thirty One Million Eight Hundred Forty Thousand RMB (RMB 6,431,840,000). Of the increased amount of registered capital of Four Five Hundred Fifty Million RMB (RMB 450,000,000500,000,000), each Party shall contribute a cash amount of Two Hundred Twenty Five Fifty Million RMB (RMB 225,000,000250,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved this the Contract Amendment No. 7 15 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). Of the increased amount of registered capital of Four Six Hundred Fifty Million RMB (RMB 450,000,000600,000,000), each Party shall contribute a cash amount of Two Three Hundred Twenty Five Million RMB (RMB 225,000,000300,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved this Contract Amendment No. 7 9 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Contract shall not apply to the increase of registered capital under this Contract Amendment No. 79.”

Of the increased amount of registered capital of Four Hundred Fifty Million RMB (RMB 450,000,000400,000,000), each Party shall contribute a cash amount of Two Hundred Twenty Five Million RMB (RMB 225,000,000200,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved this the Contract Amendment No. 7 14 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company). It is agreed by the Parties that Art. 5.3 and Art. 5.6 of the Contract shall not apply to the increase of registered capital under this Contract Amendment No. 78.”

Of the increased amount of registered capital of Four Five Hundred Fifty Million RMB (RMB 450,000,000500,000,000), each Party shall contribute a cash amount of Two Hundred Twenty Five Fifty Million RMB (RMB 225,000,000250,000,000) to the JV Company’s capital account not later than 15 PRC banking days after the requirements for contribution of the increased registered capital are met (i.e. the Examination and Approval Authority has approved this the Contract Amendment No. 7 12 and the JV Company has provided certified copies of such approval to each of the Parties and the competent department of the State Administration of Foreign Exchange has approved the respective increase of the capital account of the JV Company).
