Amendments to the SSA. 2.1. Clause 2.1 (c) of the SSA is hereby amended and shall be substituted in its entirety with the following: “Omidyar agrees to invest an aggregate amount of up to INR 10,00,00,000 (Indian Rupees Ten crores) (“Omidyar Subscription Amount”), in three or more tranches, for subscription to the Omidyar Securities.”
Amendments to the SSA. 2.1. Clause 2.1 of the SSA shall stand replaced in its entirety with the following: Subscription: In reliance of (i) the Warranties, indemnities and covenants as provided by the Company and the Founder, and (ii) the Warranties, indemnities and covenants that had been provided by Ms. Priya Kapoor to the extent such warranties, indemnities and covenants subsist post her exit, as per the terms of the SSA; and subject to the fulfilment of all Conditions Precedent in accordance with Clause 3 of the SSA (unless otherwise waived by the concerned Anchor Investor(s) in writing), and the Disclosure Letter being in a form acceptable to the Anchor Investors:
Amendments to the SSA. (A) Each reference to “$10,000,000” in Section 8.01(b) of the SSA is hereby replaced with a reference to “$50,000,000”.
