Common use of Amendments to this Agreement due to Change of Law Clause in Contracts

Amendments to this Agreement due to Change of Law. (a) The Service Provider and the User may seek to amend the terms and conditions set out in this Agreement to accommodate a Change in Law. (b) The Party seeking to amend the terms and conditions set out in this Agreement to accommodate a Change in Law (in this clause 1.3, the First Party) will consult the other Party (in this clause 1.3, the Second Party) in respect of the amendments the First Party proposes to make to the terms and conditions set out in this Agreement and will take into account any reasonable comments made by the Second Party. (c) The First Party will provide notice to the Second Party of any such amendments, along with an explanation of why the amendments are required and an analysis of their impact on the Agreement. (d) The Second Party agrees (with such agreement not to be unreasonably withheld) that such amendments will vary the terms of this Agreement, effective 20 Business Days from the date of the notice or such later date as agreed between the Parties, unless the Second Party gives a notice of dispute under clause 30.2 before that date, in which case the provisions of clause 30 will apply.
