Amount of ATAH Unsecured Claim. The ATSB Lenders shall have an allowed, general unsecured claim against ATAH in its Chapter 11 Case in respect of the ATAH Guarantee of the ATSB Loan Obligations in an amount equal to the sum of the Secured Claim and the ATA Unsecured Claim (the "ATAH Unsecured Claim"). The ATAH Unsecured Claim is not subject to counterclaim, offset, avoidance, subordination or disallowance by any Party for any reason whatsoever, except as expressly set forth herein.
