Common use of Amount of Purchase Price Clause in Contracts

Amount of Purchase Price. The purchase price for the Purchased Assets (the “Purchase Price”) shall be the sum of (a) an amount of cash equal to Eighty-Four Million Five Hundred Sixty-Seven Thousand One Hundred Fifty-Eight Dollars ($84,567,158) (the “Initial Cash Payment”), (b) assumption of the Assumed Liabilities, (c) the payments with respect to certain Taxes described in Section 6.20, and (d) the Reimbursable Costs pursuant to Section 9.4(b).

Amount of Purchase Price. The purchase price for the Purchased Assets (the (“Purchase Price”) shall be the sum of (a) an amount of cash equal to Eighty-Four Million Five Hundred Sixty-Seven Thousand One Hundred Fifty-Fifty- Eight Dollars ($84,567,158) (the “Initial Cash Payment”), (b) assumption of the Assumed Liabilities, (c) the payments with respect to certain Taxes described in Section 6.20, and (d) the Reimbursable Costs pursuant to Section 9.4(b).

Amount of Purchase Price. The purchase price for the Purchased ------------------------ Assets and the Assumed Liabilities (the “"Purchase Price”") shall be an amount equal to the sum of (ai) an $6,000,000 plus (ii) the amount of cash equal Cash ---- on Hand as certified pursuant to Eighty-Four Million Five Hundred Sixty-Seven Thousand One Hundred Fifty-Eight Dollars the provisions of Section 2.3 below plus ($84,567,158iii) (the “Initial Cash Payment”), (b) assumption allocation between the parties of the Assumed Liabilities, Agreed Prepaid ---- Expenses in accordance with Section 1.5 hereof plus (civ) the payments with respect to certain Taxes described in Section 6.20, and (d) the Reimbursable Costs pursuant to Section 9.4(b)1995 ---- Audit Expense.
