Common use of Amounts Owed Clause in Contracts

Amounts Owed. MS will provide Company with a summary of MS’ findings and conclusions of each audit. (1) MS may determine Company did not report correctly. If so, Company will immediately pay the amount owed to MS. (2) MS may determine Company has intentionally breached this Agreement (or a previous Microsoft OEM Distribution Agreement for Software Products for Embedded Systems), or that the amount owed exceeds the Material Amount. If so, Company will also pay the costs of the audit plus a Default Charge for each unreported unit of Product.

(2) MS may determine Company has intentionally breached this Agreement (or a previous Microsoft OEM Distribution Agreement for Software Products for Embedded Systems), or that the amount owed exceeds the Material Amount. If so, Company will also pay the costs of the audit plus a Default Charge for each unreported unit of Product.

If so, Company COMPANY will immediately pay the amount owed to MS. (2ii) MS may determine Company COMPANY has intentionally breached this Agreement (or a previous Microsoft OEM Distribution Agreement for Software Products for Embedded Systems), or that the amount owed exceeds the Material Amount. If so, Company COMPANY will also pay the costs of the audit plus a Default Charge an additional royalty of ***% of the applicable product royalty for each unreported unit copy of Licensed Product.
