AND ON THE OTHER PART,. If the Buyer assigns all or part of its rights and obligations under this Agreement to one or more of its Affiliates, AMERICAN TOWER INTERNATIONAL, INC., a company incorporated under the laws of Delaware, with registered office at 000 Xxxxxxxxxx Xxxxxx, Xxxxxx Xxxxxxxxxxxxx, 00000, Xxxxxx Xxxxxx (the “Guarantor”). The Guarantor is represented by Xx. Xxxxxx Xxxxxxxxx, of legal age, with professional domicile at 000 Xxxxxxxxxx Xxxxxx, Xxxxxx, Xxxxxxxxxxxxx, 00000, Xxxxxx Xxxxxx, who is acting as representative of the Guarantor pursuant to an Action by Unanimous Written Consent of American Tower International, Inc dated 1 July 2019. The Seller and the Buyer (jointly, the “Parties” and each, a “Party”) and the Guarantor mutually acknowledge their respective capacity and legal standing (legitimación) to enter into this Agreement for the Sale and Purchase of the Towers Europe Division of Telxius Telecom, S.A. (the “Agreement”) and the validity and sufficiency of the representative powers of their respective signatories.
