Angel Counsel Clause Samples
The 'Angel Counsel' clause designates a specific legal advisor or law firm, often chosen by the lead investor or a group of investors, to represent their collective interests in a transaction. This clause typically outlines the scope of the counsel's authority, clarifies that the counsel acts for the investors as a group rather than individually, and may address how communications and conflicts of interest are managed. Its core function is to streamline legal representation, reduce costs, and ensure consistent advice for all investors, thereby preventing confusion or conflicting instructions during negotiations.
