Annual Certificate by Master Servicer. (a) Within 15 days prior to the date on which a Form 10-K is required to be filed, the Master Servicer shall execute and deliver an Officer's Certificate signed by the senior officer in charge of servicing of the Master Servicer or any officer to whom that officer reports, to the Securities Administrator and Depositor for the benefit of the Securities Administrator, SLS and Depositor and their respective officers, directors and affiliates, certifying as to matters described in the Officer's Certificate attached hereto as Exhibit P.
